Terms and Conditions

Welcome to Pipelime! These Terms and Conditions ("Terms") form a binding agreement between you ("Customer", "you", or "your") and ZASolution Ayrton Zinnanti ("Pipelime", "we", "us", or "our"), the company behind pipelime.app.
By creating an account or using our Service, you agree to these Terms. If you do not agree, please do not use Pipelime.
We have written these Terms to be as clear and fair as possible. If anything is unclear, reach out to us at hello@pipelime.app — we are happy to help.
1. Definitions
- "Service" means the Pipelime cloud-based email outreach platform available at pipelime.app, including the web application, REST API, CLI, documentation, and any related services we provide.
- "Account" means the user account you create to access the Service.
- "Organization" means a workspace within the Service where team members collaborate and share data such as contacts, campaigns, and email accounts.
- "Customer Data" means any data you or your team upload, create, or transmit through the Service, including contacts, companies, campaigns, email content, and custom fields.
- "Plan" means the subscription tier you select (Free, Starter, or Pro), each with its own feature set and pricing.
- "Seat" means one user slot within your Organization. Paid Plans are billed per Seat.
2. Your Account
2.1 Registration
To use Pipelime, you need to create an Account. You agree to provide accurate, complete information and to keep it up to date. You are responsible for maintaining the confidentiality of your login credentials.
2.2 Organizations & Team Access
When you create or join an Organization, all Customer Data within that Organization (contacts, companies, campaigns, and analytics) is shared with all members of the Organization. You are responsible for managing who has access to your Organization and for the actions of all members within it.
2.3 Account Security
You are responsible for all activity that occurs under your Account. If you suspect unauthorized access, please notify us immediately at hello@pipelime.app. We will never ask for your password.
3. The Service
3.1 What Pipelime Does
Pipelime is an API-first cold email outreach platform. It lets you connect email accounts, build multi-step email campaigns, manage contacts and companies, track engagement (opens, clicks, replies), and automate outreach — either through the web app, the REST API, or the CLI.
3.2 Service Availability
We do our best to keep Pipelime available around the clock, but we cannot guarantee uninterrupted or error-free operation. Occasional downtime for maintenance, updates, or unforeseen issues may occur. We will try to notify you of planned maintenance in advance whenever possible.
3.3 Changes to the Service
We are constantly improving Pipelime. We may add, modify, or remove features at any time. If we make a change that materially reduces the functionality of a paid feature you rely on, we will give you reasonable notice.
4. Plans & Pricing
4.1 Free Plan
The Free Plan gives you access to Pipelime with limited features at no cost. We may change the scope of the Free Plan at any time.
4.2 Paid Plans
Paid Plans (Starter and Pro) are billed per Seat on a monthly or annual basis. Prices are listed on our website and are quoted in USD. All prices are exclusive of applicable taxes (including VAT), which will be added where required by law.
4.3 Free Trial
Every paid Plan comes with a 14-day free trial. To start a trial, you must provide valid payment information through our payment provider (Polar). During the trial, you have full access to the Plan's features. If you do not cancel before the trial ends, your subscription will automatically begin and you will be charged at the applicable Plan rate. You may cancel at any time during the trial at no cost.
4.4 Billing & Payment
- Subscription fees are charged in advance at the start of each billing cycle (monthly or annually).
- We use a third-party payment processor to handle billing. By subscribing, you agree to the payment processor's terms.
- If a payment fails, we will notify you and may suspend your access to paid features until the outstanding amount is settled.
4.5 Price Changes
We may adjust our pricing from time to time. If we increase the price of a Plan you are currently subscribed to, we will give you at least 30 days' written notice before the new price takes effect. If you do not agree to the new pricing, you may cancel your subscription before the change takes effect.
5. Cancellation & Refunds
5.1 Cancellation
You may cancel your subscription at any time from your billing settings. There are no contracts, no hidden fees, and no lock-in periods. If you cancel, you keep access to your paid Plan until the end of your current billing period. After that, your account reverts to the Free Plan. Since every paid Plan includes a 14-day free trial, all subscription payments are non-refundable.
5.2 Termination by Us
We may suspend or terminate your Account if you materially breach these Terms. Where possible, we will give you reasonable notice and an opportunity to remedy the breach before taking action. However, we reserve the right to terminate immediately in cases of:
- Violations of our Acceptable Use Policy (Section 6)
- Fraudulent or illegal activity
- Actions that threaten the security or integrity of the Service or other users
Upon termination, any outstanding fees become due immediately.
6. Acceptable Use
Pipelime is a tool for legitimate, professional email outreach. You are responsible for how you use it and for all content you send through the Service. You agree not to use Pipelime to:
6.1 Prohibited Content
- Send spam, unsolicited bulk email, or messages to recipients who have not given consent or with whom you do not have a legitimate business reason to contact
- Send phishing emails, malware, or any deceptive or fraudulent content
- Send content that infringes on intellectual property rights of third parties
- Send content that is hateful, harassing, threatening, defamatory, or otherwise unlawful
- Send content that contains sensitive personal data (health, financial, biometric, etc.) unless you have a lawful basis and the recipient's explicit consent
6.2 Prohibited Conduct
- Circumvent or attempt to circumvent sending limits, rate limits, or blocklist enforcement
- Use the Service to harvest, scrape, or collect email addresses or other personal data without consent
- Share, resell, or sublicense your Account or access to the Service to third parties
- Reverse engineer, decompile, disassemble, or attempt to extract the source code of the Service
- Interfere with or disrupt the Service, its infrastructure, or other users' access
- Use the Service in a way that violates any applicable law or regulation
6.3 Enforcement
If we determine that your use violates this Acceptable Use Policy, we may take action including but not limited to: issuing a warning, suspending sending capabilities, suspending your Account, or terminating your Account. We will try to work with you to resolve issues before taking drastic measures, but we reserve the right to act immediately where necessary to protect the Service and other users.
7. Email Compliance
7.1 Your Responsibility
You are solely responsible for complying with all applicable email laws and regulations, including but not limited to:
- CAN-SPAM Act (United States)
- GDPR (European Union)
- CASL (Canada)
- ePrivacy Directive (European Union)
- Any other applicable local, state, national, or international laws
This includes, but is not limited to, obtaining proper consent from recipients, providing accurate sender information, and honoring opt-out requests.
7.2 Compliance Tools We Provide
Pipelime provides tools to help you stay compliant:
- Unsubscribe links are automatically included in every outgoing email
- Organization-wide blocklist ensures unsubscribed and bounced contacts are never emailed again
- Physical address field in Organization settings for CAN-SPAM compliance
- Bounce detection automatically blocklists hard-bounced email addresses
- Hard delete for contacts, supporting GDPR right to erasure
These tools are provided to help you comply with the law, but they do not replace your own obligation to understand and follow applicable regulations. Using Pipelime does not constitute legal advice.
7.3 Blocklist Enforcement
When a recipient unsubscribes or a hard bounce is detected, the contact is automatically added to your Organization's blocklist. All pending campaign steps for that contact are cancelled across all campaigns. Blocklist entries cannot be overridden by regular members — only Organization admins can remove a contact from the blocklist, and only with a valid reason.
8. Email Accounts & Sending
8.1 Connected Email Accounts
To send emails through Pipelime, you connect your email account(s) via OAuth 2.0 (currently Gmail). By connecting an email account, you authorize Pipelime to send emails on your behalf and to read incoming messages for reply and bounce detection.
Your use of Gmail through Pipelime is also subject to Google's Terms of Service. Pipelime's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. For details on how we handle Google user data, see our Privacy Policy, Section 7.
8.2 Sending Limits
Each connected email account has a configurable daily sending limit (default: 50 emails per day). These limits exist to protect your email reputation and deliverability. You agree not to attempt to circumvent these limits.
8.3 No Delivery Guarantee
Emails are sent through your connected email provider (e.g., Gmail). Pipelime does not guarantee email delivery, as delivery depends on your email provider, the recipient's email server, and other factors outside our control.
9. Customer Data
9.1 Ownership
You retain full ownership of all Customer Data. We do not claim any ownership rights over your data.
9.2 License to Us
You grant us a limited, non-exclusive license to store, process, transmit, and display your Customer Data solely for the purpose of providing and improving the Service. This includes making copies for backup and redundancy purposes and transmitting data through our infrastructure providers.
9.3 Data Processing
We process Customer Data on servers located in the European Union. For details on how we handle personal data, please refer to our Privacy Policy.
9.4 Data Portability & Deletion
You can export your Customer Data at any time through the Service or API. If you delete your Account, we will delete your Customer Data within 30 days, except where we are required by law to retain it for longer.
9.5 Third-Party Providers
We use third-party infrastructure providers (such as cloud hosting and database services) to operate the Service. These providers may process Customer Data on our behalf and are bound by appropriate data processing agreements.
10. API & Integrations
10.1 API Access
Pipelime provides a REST API and CLI for programmatic access. API access is subject to these Terms and any additional API documentation we publish.
10.2 API Keys
You can generate API Keys with different scopes (full-access or read-only). API Keys are confidential — treat them like passwords. You are responsible for all activity performed through your API Keys. If an API Key is compromised, revoke it immediately from your settings.
10.3 Rate Limits
API requests are subject to rate limiting (currently 100 requests per minute per API Key). We may adjust rate limits at any time to ensure fair usage and platform stability.
10.4 Webhooks
Pipelime can send event notifications to your configured webhook endpoints. Webhook payloads are signed with HMAC-SHA256 for security. You are responsible for maintaining the availability and security of your webhook endpoints.
11. Intellectual Property
11.1 Our IP
The Service, including its design, code, features, documentation, trademarks, and all related intellectual property, is and remains the property of Pipelime / ZASolution. These Terms grant you a limited, non-exclusive, non-transferable, revocable right to use the Service during your subscription. You may not copy, modify, distribute, or create derivative works of any part of the Service.
11.2 Your IP
You retain all intellectual property rights in your Customer Data and any content you create using the Service. Nothing in these Terms transfers your IP rights to us.
11.3 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use, modify, and incorporate that feedback into the Service without any obligation to you.
12. Customer References
You agree that we may use your company name, logo, and a general description of your use case as a customer reference in our marketing materials, website, and sales collateral. We will portray you in a positive and professional light. If you prefer not to be referenced, just let us know at hello@pipelime.app and we will remove your reference within 14 days.
13. Confidentiality
Both parties agree to treat as confidential any non-public information received from the other party that is designated as confidential or that a reasonable person would understand to be confidential. This includes, but is not limited to, business plans, technical data, customer lists, and financial information. Confidential information may not be disclosed to third parties without the other party's prior written consent, except as required by law or to professional advisors bound by confidentiality obligations.
14. Warranties & Disclaimers
14.1 Our Commitment
We strive to provide a reliable, secure, and well-maintained Service. We regularly update and improve the platform and respond to issues promptly.
14.2 Disclaimer
The Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that:
- The Service will be uninterrupted, timely, secure, or error-free
- The results obtained through the Service will be accurate or reliable
- Any emails sent through the Service will be delivered to the intended recipients
14.3 Your Warranties
You warrant that:
- You have the legal right and authority to enter into these Terms
- You will use the Service in compliance with all applicable laws
- All Customer Data you provide is accurate and you have the right to use and share it
- Your use of the Service will not infringe on the rights of any third party
15. Limitation of Liability
15.1 Exclusion of Indirect Damages
To the maximum extent permitted by applicable law, neither party shall be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, loss of business opportunities, or business interruption, regardless of the cause of action or the theory of liability.
15.2 Liability Cap
Our total aggregate liability arising out of or in connection with these Terms or the Service shall not exceed the total amount you have paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.
15.3 Exceptions
Nothing in these Terms limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Willful misconduct or gross negligence
- Any liability that cannot be excluded or limited under applicable law
16. Indemnification
You agree to indemnify, defend, and hold harmless Pipelime and its officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Content you send through the Service
- Any claim by a third party related to your email outreach activities
17. Force Majeure
Neither party shall be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from circumstances beyond the party's reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, strikes, government actions, cyberattacks, power outages, internet disruptions, or failures of third-party services.
If a force majeure event continues for more than 60 days, either party may terminate these Terms upon written notice.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email or through the Service at least 30 days before the changes take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you may cancel your subscription before they take effect.
19. General Provisions
19.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Germany, without regard to conflict of law principles.
19.2 Jurisdiction
Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Cologne (Köln), Germany.
19.3 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced by a valid provision that most closely reflects the intent of the original provision.
19.4 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Plan details, constitute the entire agreement between you and Pipelime regarding the use of the Service and supersede all prior agreements and understandings.
19.5 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor without your consent.
19.6 Waiver
The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or the right to enforce it later.
19.7 Language
These Terms are written in English. In the event of a conflict between the English version and any translation, the English version shall prevail.
19.8 No Agency
Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Pipelime.
